Terms of Service

These Terms of Service ("Terms") apply to your use of panhappy ("panhappy," "we," "us," or "our"), a meal planning service currently in early access at https://www.panhappy.com. By creating an account or using the service, you agree to these Terms. If you do not agree, do not use panhappy.
Who we are
panhappy is operated by its founders as an independent project. We have not incorporated a separate business entity. References to "panhappy," "we," or "us" mean the people who operate the service.
The service
panhappy helps you plan meals, track pantry items, and related home-cooking workflows using software and automated suggestions, including AI-assisted features. Features, limits, and pricing may change as the product evolves.
We may add, change, or remove features at any time. We do not guarantee uninterrupted availability.
Early access
panhappy is currently offered in early access. The service is actively evolving: features, limits, pricing, and availability may change; bugs or interruptions may occur; and we may modify or remove data while we improve the product.
You use the service at your own risk during early access. To the fullest extent permitted by law, we do not guarantee that your content (including meal plans, pantry data, photos, and preferences) will always be available, accurate, or preserved. Keep your own copies of anything important.
Early access does not remove mandatory consumer rights where applicable law requires them, but it explains why the service is provided on an "as is" and "as available" basis as described in the Disclaimers and Limitation of liability sections below.
Eligibility and accounts
You must be at least 18 years old and able to enter a binding contract to use the service.
You are responsible for your account credentials and for activity under your account. Use a valid email address and keep your sign-in secure.
You may not share an account in a way that violates plan limits or these Terms.
Subscriptions and billing
Paid plans (such as Simmer and Sear) are billed on a recurring subscription basis unless stated otherwise at checkout.
Checkout and payment processing are provided by Paddle.com Market Limited and its affiliates ("Paddle"). Paddle is the merchant of record for your purchase. Your payment relationship for subscriptions is with Paddle under Paddle's terms and privacy policy, in addition to these Terms.
Subscriptions renew automatically at the end of each billing period unless you cancel before renewal. You can manage or cancel your subscription through the Paddle customer portal linked from Settings in the app after checkout.
Prices, plan features, and usage limits are shown before purchase and may change for future billing periods. We will give reasonable notice of material price changes where required.
Because subscriptions give you immediate digital access, you ask us to begin providing the service as soon as you complete checkout. If you are a consumer in the EU or UK, this affects your statutory 14-day right to cancel as explained in our Refund Policy. Cancellations and refunds are governed by that Refund Policy, which forms part of these Terms.
Acceptable use
You agree not to misuse the service. For example, you must not:
- Break the law or infringe others' rights
- Attempt to access another user's data or our systems without permission
- Reverse engineer, scrape, or overload the service
- Upload unlawful, abusive, or misleading content
- Use the service to provide competing meal-planning services built on unauthorized access
Your content
You keep ownership of content you submit (such as pantry notes, photos, and preferences). You grant us a limited license to host, process, and display that content only to operate and improve the service for you.
You are responsible for ensuring you have the right to submit content you provide, including photos of your kitchen or food.
AI and informational use
Meal suggestions, nutrition estimates, and other AI-generated output are provided for convenience only. They are not medical, dietary, or professional advice.
Always use your own judgment for allergies, dietary restrictions, food safety, and health decisions. Verify ingredients and cooking instructions before relying on them.
Disclaimers
The service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.
Because we are in early access, we do not warrant uninterrupted or error-free operation, that defects will be corrected, or that the service or our systems are free of harmful components. We are not responsible for loss or corruption of your content except where applicable law requires otherwise.
Limitation of liability
To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising from your use of the service.
Our total liability for any claim relating to the service is limited to the greater of (a) the amount you paid us for the service in the twelve months before the claim or (b) USD $50.
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
Termination
You may stop using the service at any time. You may cancel a paid subscription through Paddle as described above.
We may suspend or terminate access if you materially breach these Terms or if needed to protect the service, users, or our legal obligations.
Governing law and disputes
These Terms and any dispute relating to them or to the service are governed by the laws of England and Wales, without regard to conflict-of-laws rules. You agree to the exclusive jurisdiction of the courts of England and Wales for any dispute, subject to the consumer protections below.
If you are a consumer, nothing in this section deprives you of the protection of mandatory consumer laws of your country of residence, or of your right to bring proceedings in the courts of that country where applicable law gives you that right. Mandatory local consumer rights always take precedence over a conflicting choice of law or forum in these Terms.
Before starting formal proceedings, we encourage you to contact us so we can try to resolve the issue informally.
General terms
These Terms, together with our Privacy Policy and Refund Policy, are the entire agreement between you and us about the service and replace any prior agreements on that subject.
If any provision of these Terms is found unenforceable, the rest remain in effect, and the unenforceable provision will be limited or removed to the minimum extent necessary.
Our failure to enforce a provision is not a waiver of our right to enforce it later. You may not assign or transfer these Terms without our consent; we may assign them to a successor in connection with a merger, acquisition, or transfer of the service, without reducing your rights.
We are not liable for any delay or failure to perform caused by events beyond our reasonable control, such as outages of third-party providers, network failures, or other force majeure events.
We may provide notices to you by email or in-app message; you can reach us at hello@panhappy.com.
Changes
We may update these Terms from time to time. We will post the revised version on this page and update the "Last updated" date. For material changes, we will give reasonable advance notice by email or in-app notice where appropriate. Continued use after changes take effect means you accept the updated Terms; if you do not agree, you should stop using the service and may cancel as described above.
